A National strategic asset for Wales, Cardiff International Airport Ltd is seeking to appoint a Non-Executive Director with a particular skillset in finance, property management/development, infrastructure and/or other commercial leadership experience.

Currently, the organisation is looking to build on the strength of leadership to manage a fine balance of complex priorities, including oversight of a c.£42.6m rescue and recovery agreement, navigating the environmental interests of Welsh Government with the realities of running a key piece of transport infrastructure and supporting the diversification strategy to enable commercial growth, job creation and improved service provision to the growing communities near the Airport's 300-acre site. The Board will have a significant focus on dealing with the challenges of the recovery through the agreed business plans.

The Airport is seeking candidates who are apolitical in their approach. Candidates with diverse stakeholder management experience will be key: those who are comfortable developing relationships with contacts in both the private and public sectors, who have experience in liaising and/or working with government ministers and those who have regulatory experience.

This appointment will also carry the responsibility of Chairing the Audit Committee, and so past Non-Executive experience, and a familiarity with board level governance is desirable.

Strategic Direction
Provide a creative and informed contribution to strategy formation, giving a wider view of external factors affecting the Airport and its business environment, and act as a constructive critic in looking at objectives and plans devised by the Executive team.

Monitoring Performance
Monitor the performance of the Executive Team in terms of the progress made towards achieving the approved company strategy, objectives, business plan and budget, including determining the appointment or removal of Executive Directors and their appropriate levels of remuneration.

Maintain good communications with the Shareholder, through Welsh Government HoldCo and to help connect the business and the Board with the broader stakeholder community, including people and organisations, which can assist the Airport in achieving its objectives.

Ensure that financial controls and systems of risk management are robust and defensible.

Ensure that the Airport accounts properly to its Shareholder by presenting a true and fair reflection of its actions and financial performance and that the necessary internal control systems are put into place and monitored regularly and rigorously.

Time Commitment
The Non-Executive Director will be appointed for a 3-year term subject to re-election and statutory provisions relating to the removal of a director. Any term beyond 6 years will be subject to more rigorous review and will consider the need for progressive refreshing of the Board.

Expected time commitment will be agreed on an individual basis with each Non-Executive Director, with the average time commitment being in the range of approximately 25 days per year. All Non-Executive Directors are expected to make sufficient time available to discharge their responsibilities and maintain regular contact with the board.

The Board meets on a monthly basis and conducts a c.2-hour Board call between each Board meeting. It holds a strategy day in September. In addition to Board meetings, the appointee will Chair the Audit Committee. The appointee will also be expected to spend additional time on site visits as part of his or her induction programme and on an on-going basis.
